MedMatchers Student Terms and Conditions
Effective date 13 September 2026
Important — These Terms govern a student's use of MedMatchers to request and book clinical rotations. MedMatchers is a marketplace and administrative platform. It is not a school, accreditor, healthcare provider, employer, immigration adviser, or guarantor of academic credit, licensure, employment, or placement outcomes.

Parties and acceptance
These Student Terms and Conditions (Terms) are between PASS Program Clinicals LLC d/b/a MedMatchers (MedMatchers, we, us, or our) and the student or other learner who creates an account, requests a Clinical Rotation, or accepts a Booking through the MedMatchers platform (Student or you). By creating an account, clicking acceptance, paying for a Booking, or participating in a Clinical Rotation arranged through MedMatchers, you agree to these Terms and any booking-specific terms shown before payment.
An account may be held only by a person aged 18 or over. If you are 18 or over and are the student, you hold your own account and accept these Terms for yourself.
A student under 18 may take part only through an account held by their parent or legal guardian. The parent or legal guardian creates and holds the account, accepts these Terms, and is MedMatchers' point of contact for everything relating to a Booking, including messages with the Preceptor. A student under 18 does not hold an account and does not accept these Terms. MedMatchers does not accept students under 13.
A parent or legal guardian who accepts these Terms accepts them on behalf of the named student and in their own right. Independently of whether the student is bound, and whether or not the student is capable of being bound, the parent or legal guardian undertakes the following as their own primary obligations: payment of all amounts due under section 6, the indemnity in section 18, and responsibility for the student's compliance with these Terms and with the rules of the Preceptor, the Clinical Site and the student's school. Those obligations stand on their own and are not conditional on the student being bound by anything.
MedMatchers may require proof of age, identity or guardianship, and may suspend or cancel a Booking where a required acceptance is missing or cannot be verified. Some Clinical Sites will not accept a participant under 18, and some Clinical Rotations are not available to them.
If you accept these Terms for another person, you represent that you are authorized to bind that person. MedMatchers may require a separate signature, identity verification, or additional documents.
MedMatchers records each acceptance, including the account that accepted, whether it was accepted by a parent or legal guardian and for which student, the version of these Terms accepted, and the date and time. The version you accepted for a confirmed Booking governs that Booking.

Definitions
Term — Meaning
Booking — a confirmed Clinical Rotation request for specified dates, location, scope, price, and other terms.
Clinical Rotation — a time-limited observership, clinical experience, practicum, preceptorship, or similar supervised learning opportunity offered by a Preceptor and accepted through the Platform, including an observership or permitted hands-on experience.
Clinical Site — the hospital, clinic, office, practice, facility, or other organization where a Clinical Rotation occurs.
Gross Rotation Fee — the price established by the Preceptor and accepted by the Student for a Clinical Rotation, excluding separately stated sales, use, or similar taxes, refunded amounts, reversed payments, and chargebacks.
Platform — the MedMatchers website, applications, databases, communication tools, payment functions, and related services.
Preceptor — an independent licensed professional who lists, accepts, or supervises a Clinical Rotation.
Student Service Fee — the fee described in section 6.3, charged to the Student in addition to the Gross Rotation Fee.

MedMatchers marketplace role
MedMatchers supplies technology, marketing, lead generation, listing, matching, booking, communication, credential collection, and payment administration services. Preceptors and Clinical Sites are independent from MedMatchers. MedMatchers does not employ, direct, or control their clinical judgment, supervision, schedule, site operations, or treatment decisions.
A Booking creates a direct educational arrangement between the Student and the accepting Preceptor, subject to the Clinical Site's approval and rules. MedMatchers may facilitate communications and payments but does not become a party to patient care or an academic affiliation agreement solely because the Booking uses the Platform.
MedMatchers may review credentials and listings, but any review is administrative and does not replace the Student's or educational institution's due diligence. You and your institution remain responsible for deciding whether a Preceptor, Clinical Site, and Clinical Rotation satisfy program, accreditation, licensing, and academic-credit requirements.

Account and student eligibility
You must provide accurate, current, and complete information and protect your login credentials. You may not impersonate another person, submit altered documents, share an account, scrape platform data, or use the Platform for an unlawful purpose.
Before the Clinical Rotation begins, you must satisfy every requirement imposed by your school, the Preceptor, the Clinical Site, and applicable law. Requirements may include:
- Enrollment and good standing in an eligible educational program
- Written school approval, an affiliation agreement, or other institutional authorization
- Background checks, drug screening, immunizations, health records, training, and identification
- Current health insurance and professional or student liability coverage in the required amounts
- Licenses, permits, work authorization, immigration documents, and travel documents applicable to you
- HIPAA, privacy, safety, infection-control, and site-specific orientation
Where a parent or legal guardian holds the account, these requirements apply to the student who will attend, and the parent or legal guardian is responsible for seeing that they are met.
Failure to complete a requirement on time may delay or cancel the Clinical Rotation and may affect refund eligibility under section 7.

Rotation requests and booking
Preceptors set their own availability, acceptance criteria, schedule, Clinical Rotation structure, and price by hour, day, week, month, or full rotation. A request is not confirmed until the Preceptor accepts it, all stated conditions are satisfied, and required payment is completed. MedMatchers may reject, pause, or cancel a request when information cannot be verified, a legal or safety concern exists, or the Booking cannot be administered as described.
Clinical Rotation details shown in the app, the confirmed Booking, written messages through the Platform, and any Clinical Site or school agreement form part of the applicable arrangement. If terms conflict, mandatory law and patient-safety rules control, followed by the Clinical Site's rules, the confirmed Booking, and these Terms, unless a signed school affiliation agreement requires a different order.

Fees and payment
**6.1 What you pay.** You must pay the total amount displayed at checkout using an approved payment method. The checkout screen will disclose the total amount you owe before confirmation, itemizing the Gross Rotation Fee, the Student Service Fee, and any separately stated taxes or charges.
**6.2 The Gross Rotation Fee.** The Preceptor establishes the Gross Rotation Fee. MedMatchers retains a platform fee equal to fifteen percent (15%) of the Gross Rotation Fee from the amount otherwise payable to the Preceptor. That fee is paid by the Preceptor out of their proceeds, not by you, and supports hosting, platform access and maintenance, lead acquisition, marketing, listing distribution, booking administration, communication support, payment administration, and related marketplace operations. MedMatchers discloses that it is independent of the Preceptor and that it is paid a percentage of the Gross Rotation Fee, both when you first encounter a listing and again before you confirm a Booking.
**6.3 The Student Service Fee.** In addition to the Gross Rotation Fee, MedMatchers charges you a Student Service Fee of five percent (5%) of the Gross Rotation Fee. This fee is charged at checkout and is shown separately before you confirm. It compensates MedMatchers for the services described in section 6.2 as they are provided to Students, including search, matching, application handling, secure messaging, credential collection, and payment processing. The Student Service Fee is refundable on the same basis as the Gross Rotation Fee under section 7. Where the Gross Rotation Fee is refunded in full, the Student Service Fee is refunded in full.
**6.4 Authorizations.** You authorize MedMatchers and its payment processor to charge approved amounts, process permitted refunds, and correct duplicate or erroneous transactions.
**6.5 Costs that are yours.** You are responsible for taxes, bank fees, travel, lodging, meals, transportation, supplies, insurance, testing, credentialing, and other costs unless the Booking expressly states otherwise.
7
Cancellations, refunds and rescheduling
**7.1 Which policy applies.** The cancellation, refund, rescheduling, missed-time, and credit terms displayed for the applicable listing or Booking at checkout are incorporated into these Terms. Review them before paying. If a listing or Booking does not display a specific policy, the default policy in section 7.2 applies. No verbal statement changes the written policy. The policy in effect when you booked governs that Booking; a later change to a listing's policy or to section 7.2 does not alter a Booking already confirmed.
**7.2 Default cancellation policy.** Where no listing-specific policy is displayed, the following applies to a cancellation by the Student, measured from the Clinical Rotation start date stated in the Booking:
- Cancellation more than 7 days before the start date: full refund of the Gross Rotation Fee and the Student Service Fee. No administration fee is charged.
- Cancellation 7 days or fewer before the start date: no refund of the Gross Rotation Fee or the Student Service Fee.
The 7-day period is counted back from the Clinical Rotation start date stated in the Booking, and a cancellation submitted on the seventh day before that date falls within the no-refund period.
**7.3 Reasons for cancellation.** Each cancellation is recorded against one of the following reasons, and the outcome depends on which applies: student cancellation, preceptor cancellation, site cancellation, visa denial, incomplete credentials, removal for conduct, or force majeure.
**7.4 Student cancellation.** Submit cancellation through the Platform as soon as possible. Refund eligibility is determined under the applicable policy and any nonrecoverable costs already incurred.
**7.5 Preceptor or site cancellation.** Where the Preceptor or Clinical Site cancels, MedMatchers may offer a comparable replacement, account credit, rescheduling, or a refund of the affected Gross Rotation Fee. The no-refund period in section 7.2 does not apply to a cancellation you did not cause.
**7.6 Visa denial.** Where you cannot attend because a visa or entry permission required for the Clinical Rotation is formally denied, and you provide the written denial, you receive a full refund of the Gross Rotation Fee and the Student Service Fee, whenever the cancellation occurs and regardless of section 7.2. A written denial from the issuing authority is required. This section applies only to a documented denial, and not to a delayed application, a decision not to travel, or a failure to apply in time.
**7.7 Incomplete credentials.** Where the Clinical Rotation cannot proceed because you did not complete a requirement in section 4 on time, section 7.2 applies as though you had cancelled on the date the Clinical Rotation was cancelled.
**7.8 Missed time.** Absence, tardiness, failed onboarding, or removal for conduct does not automatically create a refund or extension. The Preceptor and Clinical Site decide whether missed hours may be made up.
**7.9 Material changes.** Notify MedMatchers promptly if the specialty, location, dates, supervision, or permitted activities materially differ from the confirmed Booking. Do not continue any activity you reasonably believe is unlawful or unsafe.
**7.10 Chargebacks.** Contact MedMatchers first to address a billing issue. Fraudulent or abusive chargebacks may result in account suspension and recovery of lawful costs.
**7.11 Costs we do not reimburse.** Except where required by law or the applicable policy, MedMatchers does not reimburse consequential expenses such as airfare, lodging, visa fees, lost wages, school tuition, or alternative placement costs.

Educational purpose and scope
A Clinical Rotation is educational. It is not employment and does not authorize you to practice medicine, nursing, or another regulated profession independently. You may perform only the activities that are lawful, approved by the Clinical Site and your school, within the Clinical Rotation's defined scope, and directly supervised as required.
- Do not diagnose, prescribe, order treatment, obtain consent, document as an independent provider, or make patient-care decisions unless you are separately licensed and expressly authorized to do so.
- Do not perform a procedure or access a patient, chart, medication, device, or restricted area without permission and required supervision.
- Identify yourself accurately as a student or observer. Never misrepresent your credentials, authority, or relationship with MedMatchers, the Preceptor, or the Clinical Site.
- Follow patient refusal, chaperone, interpreter, infection-control, incident-reporting, and emergency procedures.
An observership ordinarily involves observation only. Any hands-on activity must be separately permitted and supervised. When a rule is unclear, stop and ask the Preceptor or Clinical Site before acting.

Conduct, attendance and evaluation
You must act professionally, arrive prepared and on time, follow the confirmed schedule, wear required identification and attire, and communicate absences promptly. Harassment, discrimination, retaliation, violence, threats, intoxication, diversion, falsification, cheating, unsafe conduct, boundary violations, unauthorized recording, and misuse of confidential information are prohibited.
The Preceptor or Clinical Site may restrict activities or remove you immediately to protect patients, staff, operations, or legal compliance. MedMatchers may investigate complaints, preserve relevant records, suspend an account, inform an educational institution when permitted, or terminate access. Neither MedMatchers nor a Preceptor guarantees an evaluation, recommendation, passing grade, specified number of encounters, procedure exposure, academic credit, licensure eligibility, residency interview, employment, or immigration result.
**Marking a Clinical Rotation finished.** Your Preceptor marks a Clinical Rotation finished on the Platform when it has concluded, and MedMatchers tells you when that happens. You do not mark it finished yourself. If the record is wrong — the Clinical Rotation did not take place, you did not attend the days recorded, or it ended earlier than the record states — tell MedMatchers through the Platform within seven (7) days of that notice. MedMatchers will review what you report, may withhold payment to the Preceptor while it does, and will tell you the outcome. Reporting under this paragraph does not by itself create a refund; section 7 governs refunds. You may leave a review under section 10 whether or not you report anything under this paragraph.

Reviews
**10.1 Leaving a review.** After a Booking is marked finished, you may leave a rating and written review of the Clinical Rotation. A review must be truthful and based on your own first-hand experience of that Booking. You may not leave a review in exchange for payment or any other benefit, or leave a review about a Clinical Rotation you did not attend.
**10.2 What a review must not contain.** A review must not contain patient or health information, information that could identify a patient, the personal contact details of any person, unlawful or threatening content, or content you do not have the right to publish.
**10.3 Publication.** Reviews are public. Your review, your rating, and the name on your account are displayed on the Preceptor's listing, in search results, and on the Preceptor's public page, and may be used elsewhere on the Platform and in MedMatchers' marketing of the Platform. You grant MedMatchers a nonexclusive, worldwide, royalty-free license to do so.
**10.4 Moderation.** MedMatchers may decline to publish, or may remove, a review that breaches this section, and may remove a review attached to a Booking that is reversed, refunded, or found not to have taken place. MedMatchers does not edit the substance of a review, and does not remove a review merely because its subject disagrees with it. The criteria in this section are applied uniformly to every review submitted, without regard to whether the review is positive or negative.

Privacy, confidentiality and health information
You must protect patient, workforce, business, and student information under HIPAA, other privacy laws, school rules, and Clinical Site policy. Access only the minimum information needed for an authorized educational purpose. Do not photograph, record, download, copy, transmit, post, retain, or discuss identifiable patient information outside approved systems and settings.
Do not send protected health information or patient records to MedMatchers. Report any suspected privacy, security, safety, or documentation incident immediately to the Preceptor and Clinical Site, and to your school when required.
**Messages you send through the Platform are stored and may be read by MedMatchers.** MedMatchers retains messages and other Booking-related communications, and may review them to administer a Booking, provide support, investigate a complaint or suspected breach of these Terms, and comply with law. Do not use Platform messaging for anything you would not want MedMatchers to read, and never for patient information.
MedMatchers collects and uses the information you provide when you create an account and make a Booking, including your name, date of birth, contact details, educational program, and the documents you submit. Use of the Platform is also subject to the privacy notice published on the Platform, which governs in the event of any inconsistency with this section.

Travel, health and personal responsibility
You arrange and bear responsibility for travel, housing, local transportation, meals, insurance, health care, immigration compliance, and personal safety.
**ASSUMPTION OF RISK. YOU UNDERSTAND THAT CLINICAL SETTINGS INVOLVE RISKS THAT CANNOT BE ELIMINATED, INCLUDING EXPOSURE TO INFECTIOUS DISEASE, BODILY FLUIDS, SHARPS AND NEEDLESTICK INJURY, HAZARDOUS MATERIALS, AGGRESSIVE OR DISTRESSED PATIENTS, EMOTIONAL DISTRESS, TRAVEL RISKS, AND OTHER FORESEEABLE AND UNFORESEEABLE HAZARDS. YOU VOLUNTARILY ACCEPT THOSE RISKS AS AN INHERENT PART OF CLINICAL EDUCATION, AND YOU ARE RESPONSIBLE FOR MAINTAINING THE HEALTH AND LIABILITY INSURANCE REQUIRED UNDER SECTION 4 AND BY YOUR SCHOOL AND THE CLINICAL SITE.**
Follow all exposure-control and emergency procedures and seek appropriate medical care when needed. Nothing in this section limits any liability that cannot lawfully be limited, and nothing in this section releases MedMatchers from liability for its own negligence or willful misconduct.

Platform communications and content
You consent to receive transactional messages about your account and Bookings by email, text, push notification, or platform message. Carrier charges may apply. Keep your contact information current. Electronic records and signatures have the same effect as paper records and handwritten signatures to the extent permitted by law.
You retain ownership of content you submit. You grant MedMatchers a nonexclusive, worldwide, royalty-free license to host, copy, display, transmit, and use that content as reasonably necessary to operate, secure, support, and improve the Platform and comply with law. Do not upload patient information, infringing material, malware, or content you lack authority to share.

Marketplace integrity
For twelve (12) months after the later of the date MedMatchers first introduces you to a Preceptor or Clinical Site and the date your most recent Booking with that Preceptor is completed, you may not knowingly use that introduction to arrange or pay for a substantially similar Clinical Rotation outside MedMatchers in order to avoid the fees in section 6. This restriction does not apply to a relationship you can document existed independently before the MedMatchers introduction, or where prohibited by law. MedMatchers may suspend access and pursue lawful remedies for intentional circumvention.

Suspension and termination
You may stop using the Platform at any time, subject to confirmed Booking obligations. MedMatchers may suspend or terminate access for breach of these Terms, nonpayment, suspected fraud, credential concerns, legal or safety risk, misconduct, repeated complaints, or platform misuse. Provisions concerning fees owed, confidentiality, intellectual property, reviews already published, disputes, limitations, indemnity, and records survive termination.

Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ADMINISTRATIVE SERVICES ARE PROVIDED AS AVAILABLE AND WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY GUARANTEE OF UNINTERRUPTED ACCESS. MEDMATCHERS DOES NOT WARRANT THE CONDUCT, QUALITY, SUITABILITY, AVAILABILITY, LICENSURE STATUS, OR PERFORMANCE OF A PRECEPTOR, CLINICAL SITE, STUDENT, SCHOOL, OR THIRD PARTY, EVEN WHEN MEDMATCHERS HAS COLLECTED OR REVIEWED INFORMATION ABOUT THAT PERSON OR ORGANIZATION.
Nothing in these Terms limits a warranty or right that cannot lawfully be excluded. Nothing in these Terms waives, limits, or disclaims any right or remedy you have under the Texas Deceptive Trade Practices-Consumer Protection Act, Tex. Bus. & Com. Code section 17.41 et seq.

Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDMATCHERS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST INCOME, CREDIT, OPPORTUNITY, DATA, OR REPUTATION; OR THE ACTS OR OMISSIONS OF A PRECEPTOR, CLINICAL SITE, SCHOOL, PAYMENT PROCESSOR, OR OTHER THIRD PARTY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDMATCHERS' TOTAL LIABILITY ARISING FROM A PARTICULAR BOOKING WILL NOT EXCEED THE AMOUNT THE STUDENT PAID TO MEDMATCHERS FOR THAT BOOKING. This limitation does not apply where prohibited by law, to liability that cannot lawfully be limited, or to any right or remedy under the Texas Deceptive Trade Practices-Consumer Protection Act.

Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless MedMatchers and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, judgments, penalties, and reasonable legal expenses arising from your breach of these Terms, unlawful or unsafe conduct, misrepresentation, infringement, privacy violation, or acts or omissions during a Clinical Rotation. This obligation does not extend to, and you are not required to indemnify MedMatchers against, any claim to the extent it is caused by MedMatchers' own negligence of any degree, gross negligence, or willful misconduct, or any liability that cannot lawfully be shifted.

Dispute resolution
These Terms are governed by Texas law, without regard to conflict-of-law rules. Before filing a claim, the parties will give written notice describing the dispute and attempt in good faith to resolve it for 30 days. That 30-day period runs at the same time as, and does not replace or extend, any notice period required by statute.
These Terms evidence a transaction involving interstate commerce. The Federal Arbitration Act, 9 U.S.C. section 1 et seq., governs the interpretation and enforcement of this section 19. The choice of Texas law above applies to the substantive law governing a dispute and does not displace the Federal Arbitration Act.
Except for claims eligible for small-claims court or requests for temporary injunctive relief concerning confidentiality, security, intellectual property, or platform circumvention, any dispute arising from these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will occur in Harris County, Texas, unless the parties agree to a remote proceeding or applicable law requires another location. A Student may elect to participate by telephone or video rather than in person. The arbitrator may award any individual remedy available in court. Arbitration fees are allocated as provided by the applicable AAA rules.
YOU AND MEDMATCHERS WAIVE TRIAL BY JURY AND AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW. If a court finds a portion of this paragraph unenforceable, the remainder will be enforced to the fullest lawful extent.

General terms
- Entire agreement. These Terms, the applicable Booking, the platform privacy notice, and any incorporated policy are the entire agreement between you and MedMatchers about the Platform and supersede prior statements on that subject.
- Changes. MedMatchers may update these Terms prospectively. Material changes will be presented through the Platform or sent to your account contact. The version accepted for a confirmed Booking governs that Booking unless a change is required by law or accepted by both parties.
- Assignment. You may not assign your rights or obligations without written consent. MedMatchers may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or transfer of the Platform.
- No waiver. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be narrowed or severed while the remainder continues in effect.
- Notices. Notices to you may be sent to the account contact information. Legal notices to MedMatchers must be delivered to 4646 Wild Indigo Street #230, Houston, TX 77027, or support@medmatchers.com, and must identify the Student, the Booking, and the nature of the issue.
- No third-party beneficiaries. These Terms do not create rights for anyone other than the Student and MedMatchers, except indemnified parties may enforce the indemnity provision.

Student acknowledgments
By accepting electronically, you confirm that you have read these Terms, had an opportunity to ask questions and seek independent advice, and understand the following:
- MedMatchers is a marketplace and administrative platform, not your school, employer, healthcare provider, immigration adviser, or academic guarantor.
- The Preceptor sets the Clinical Rotation rate and terms, and the Clinical Site must permit your participation.
- Your school decides whether the Clinical Rotation qualifies for credit and whether its affiliation, supervision, and documentation requirements are satisfied.
- You may act only within the authorized student scope and required supervision.
- You pay the Gross Rotation Fee plus the Student Service Fee described in section 6.3, and the cancellation and refund terms in section 7 apply.
- Clinical education involves risks, and you remain responsible for required insurance, health compliance, travel, and personal expenses.
- These Terms include individual arbitration, a jury-trial waiver, and a class-action waiver to the extent permitted by law.
- If you are accepting as a parent or legal guardian, you are accepting for yourself as well as for the student named on your account, the obligations in section 1 are your own, and you remain the point of contact for the Booking.
Your acceptance is recorded electronically. MedMatchers records the account that accepted, the version of these Terms accepted, and the date and time of acceptance. Information you provide and accept through the Platform satisfies this section without a separate paper signature. The version you accepted remains available to you through your account, and may be saved and printed.

Student confidentiality and HIPAA acknowledgment
This acknowledgment supplements these Terms and any Clinical Site or school privacy agreement. It does not replace required HIPAA training.
- I will use and disclose patient information only as authorized for the Clinical Rotation and only through approved systems.
- I will access only the minimum information needed for my assigned educational activity.
- I will not photograph, record, post, copy, download, retain, or send identifiable patient information to a personal device, personal email, cloud account, social platform, or MedMatchers.
- I will keep passwords and access badges secure and will not use another person's credentials.
- I will discuss patient information only with authorized persons and in private settings.
- I will follow the Clinical Site's rules for documentation, disposal, remote access, and removal of notes or materials.
- I will report a suspected loss, misdirection, unauthorized access, disclosure, cyber incident, or privacy breach immediately to the Clinical Site and Preceptor, and to my school when required.
